If you are going to supply any goods or services you need to draw up a very simple contract.

Firstly clearly set out what you have agreed to supply and your charges.

Secondly, include any terms and conditions which you may think would be helpful. Most suppliers have 'exclusion clauses' limiting their liability in certain area. You may wish to include details of how the contract can be brought to an end?

With regard to payment, clearly set out your payment terms. You may add a clause that if payment is not received within 28 days you will charge interest (quote rate) on any outstanding balances. Is the payment due at the end of the job, do you require a deposit or perhaps stage payments.

The clearer you can set out your terms the easier it will be to avoid any difficulties in the future (and possible expensive litigation!).

This is quite a complicated area - perhaps you should look at other supplier's terms and conditions and see which terms you could utilise which would be helpful?

Finally, if this is a high value contract and something which you are going to do on a regular basis, consider the services of a solicitor to write your own standard terms and conditions - it may save you tears in the future!
